6IXBUZZ reserves the right to monitor, delete, refuse to transmit, move or edit, without notice to you, any User Content, in whole or in part that it deems in its sole discretion unacceptable or objectionable, or in violation of this Agreement or that which may be offensive, illegal or violate the rights of any person or entity, or harm or threaten the safety of any person or entity. 6IXBUZZ may terminate, deny, restrict, or suspend your user account or subscription at any time, for any or no reason, with or without prior notice or explanation, and without liability. You will also be liable for any loss or damage resulting, directly or indirectly, from your making content available through the Sites.

TO THE EXTENT PERMITTED BY LAW, YOU EXPRESSLY UNDERSTAND AND AGREE THAT IN NO EVENT SHALL 6IXBUZZ, INCLUDING ITS AFFILIATES AND LICENSORS, BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES, AND ANY DAMAGES FOR LOSS OF PROFITS, SAVINGS, GOODWILL OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER 6IXBUZZ HAD BEEN ADVISED OF OR COULD HAVE FORESEEN THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR IN CONNECTION WITH: (A) THE USE, INABILITY TO USE OR PERFORMANCE OF ANY OF THE SERVICES OF 6IXBUZZ SITES, (B) ANY UNAUTHORIZED ACCESS TO OR MODIFICATION TO ANY OF YOUR CONTENT OR TRANSMISSIONS, OR (C) ANY OTHER MATTER RELATING TO 6IXBUZZ SITES OR SERVICES.

You expressly acknowledge that 6IXBUZZ has entered into this agreement, and has and will make the Sites, Content and Services available to you in reliance upon the limitations and exclusions of liability and the disclaimers set forth herein, and that the same form an essential basis of the bargain between you and 6IXBUZZ. You expressly agree that the limitations and exclusions of liability and the disclaimers set forth herein will survive, and continue to apply in the case of, a fundamental breach or breaches, the failure of essential purpose of contract, the failure of any exclusive remedy or termination of this agreement.

For clarity, 6IXBUZZ cannot and will not be liable for any loss or damage occasioned from your failure to comply with these policies. Without limiting the generality of anything contained herein, you acknowledge and agree that under no circumstances will 6IXBUZZ be liable in any way for any of your acts or omissions including any damages of any kind incurred as a result of such acts or omissions. The 6IXBUZZ services are provided 'as-is' without warranty of any kind either express or implied. You acknowledge and agree that 6IXBUZZ will not be responsible for any failure of the Sites to store any files containing material uploaded to the Sites, or for the deletion of files stored on the Sites or for the corruption of or loss of any data, information or content contained in such material. Neither 6IXBUZZ nor its affiliates and related companies and each of their respective directors, officers, employees, consultants, or agents makes any representations or warranties that the Sites or access to and use of the Services will be uninterrupted, error free, or free from defects, viruses or other harmful components. You expressly agree that use of the Sites and Services is at your sole risk. You acknowledge and agree that neither 6IXBUZZ nor its affiliates and related companies, and each of their respective directors, officers, employees, consultants and agents will be responsible for any failure of the Sites to store any files. Neither 6IXBUZZ nor its affiliates and related companies, and each of their respective directors, officers, employees, consultants and agents makes any representations or warranties as to the accuracy, timeliness, reliability, or completeness of the Sites, Services or the content contained in or accessed through the Sites, including but not limited to, the contents of any content, information, material, or posting found on the Sites, any services provided through the Sites, or any links to other sites made available on the Sites or the content contained on such site or as to the continuous or error free use and operation of the internet or the Sites or servers.

Under no circumstances, including but not limited to, negligence, gross negligence, negligent misrepresentation, and fundamental breach shall 6IXBUZZ or its affiliates and related companies, and each of their respective directors, officers, employees, consultants, and agents be liable for any direct, indirect, incidental, special or consequential damages or any loss that results from the use of, or the inability to use, any content, information, material, including the posted material, or other postings on the Sites, directly or indirectly, or the transmission of confidential or sensitive information over the internet. These limitations apply regardless of whether the party liable or allegedly liable was advised, had other reason to know, or in fact knew of the possibility of such damages. You specifically acknowledge and agree that neither 6IXBUZZ nor its affiliates, and related companies, nor each of their respective directors, officers, employees, consultants and agents shall be liable for any defamatory, offensive or illegal conduct of any user, including you.

All Sites and Services are controlled, operated and administered by 6IXBUZZ from its offices within Canada. 6IXBUZZ makes no representation or warranty that the Sites or Services are appropriate or available for use at any locations outside Canada. If you access the Sites from outside Canada, you are responsible for compliance with all applicable laws. You may not export any of the Content accessible through the Sites in violation of applicable export laws and regulations. These Terms and Conditions shall be interpreted, construed and governed by the laws in force in the Province of Ontario, Canada, without reference to its conflict of laws principles. Subject to the Arbitration and Actions paragraph below, each party hereby agrees to submit to the jurisdiction of the courts of the Province of Ontario and to waive any objections based upon venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms and Conditions.

This Agreement operates to the fullest extent permissible by law. If any provision is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions. The Terms and Conditions and any rules, policies, guidelines or other agreements posted on the Sites by 6IXBUZZ constitute the entire agreement 6IXBUZZ and you with respect to your use of the Sites. No waiver by either 6IXBUZZ or you of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. If any provisions contained herein shall be determined to be void, invalid, or otherwise unenforceable by a court of competent jurisdiction, such termination shall not affect the remaining provisions contained herein.

Except where prohibited by applicable law, any controversy, claim or dispute arising out of or relating to these Terms and Conditions, your use of any Site or Service or the relationship which results from these Terms and Conditions, including, without limitation, the performance, breach, enforcement, existence or validity of the matters provided for in these Terms and Conditions which cannot be amicably resolved, even if only one of the parties declares that there is a difference (collectively, a 'Claim'), will be referred to and finally settled (to the exclusion of the courts) by private and confidential binding arbitration before a single arbitrator held in Toronto, Ontario in English and governed by Ontario law pursuant to the Arbitration Act, 1991 (Ontario), as amended, replaced or re-enacted from time to time. The arbitrator shall be a person who is legally trained and who has experience in the information technology field in Canada and is independent of either party. Any such Claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim, controversy or dispute of any other party. You agree to waive any right you may have to commence or participate in any class action against us related to any Claim and, where applicable, you also agree to opt out of any class proceedings against us. Notwithstanding the foregoing, we reserve the right to pursue the protection of intellectual property rights and confidential information through injunctive or other equitable relief through the courts.

You acknowledge and agree that 6IXBUZZ, in its sole and absolute discretion, may, without notice to you, suspend or terminate your account or your use of, or access to, the Sites orServices, and remove and discard any information or content related to the Sites or Services (and your use thereof), for any reason, including where 6IXBUZZ believes that you have violated any of these Terms and Conditions. You further agree that 6IXBUZZ shall not be liable to you or to any other person as a result of any such suspension or termination. If you are dissatisfied with the Sites or Services or with any terms, conditions, rules, policies, guidelines, or practices of 6IXBUZZ in operating the Sites or Services, your sole and exclusive remedy is to discontinue using the Sites or Services.

6IXBUZZ is always improving its websites and Services and developing new features. If you have ideas and/or suggestions regarding improvements or additions, we would like to hear them – but any submission will be subject to these Terms and Conditions. UNDER NO CIRCUMSTANCES SHALL ANY DISCLOSURE OF ANY IDEA AND/OR SUGGESTION OR RELATED MATERIAL TO 6IXBUZZ BE SUBJECT TO ANY OBLIGATION OF CONFIDENTIALITY OR EXPECTATION OF COMPENSATION. BY SUBMITTING THE IDEA AND/OR SUGGESTION OR ANY RELATED MATERIAL TO 6IXBUZZ, YOU ARE WAIVING ANY AND ALL RIGHTS THAT YOU MAY HAVE IN THE IDEA AND/OR SUGGESTION OR ANY RELATED MATERIAL AND ARE REPRESENTING AND WARRANTING TO 6IXBUZZ THAT THE IDEA AND/OR SUGGESTION OR ANY RELATED MATERIAL ARE WHOLLY ORIGINAL WITH YOU, THAT NO ONE ELSE HAS ANY RIGHTS IN THE IDEA AND/OR SUGGESTION OR ANY RELATED MATERIAL AND THAT 6IXBUZZ IS FREE TO IMPLEMENT THE IDEA AND/OR SUGGESTION AND TO USE THE RELATED MATERIAL IF IT SO DESIRES, AS PROVIDED OR AS MODIFIED BY 6IXBUZZ, WITHOUT OBTAINING PERMISSION OR LICENSE FROM ANY THIRD PARTY.

By establishing an account on any of the Sites, you grant permission for 6IXBUZZ and its designees to contact you at your e-mail address for the purpose of, among any other reason, to seek feedback on the operation of the Sites and your user experience.

This agreement is personal to you, and you may not assign your rights or obligations to anyone. The Privacy Policy, these Terms and Conditions and any other documents governing the use of the Sites constitute the only agreement between 6IXBUZZ and you pertaining to your use of the Sites, Services and Content and supercede any prior agreements between you and 6IXBUZZ with respect to the subject matter hereof. 6IXBUZZ's failure to insist upon or enforce strict performance of any right or provision of these Terms and Conditions shall not constitute or be construed as a waiver of any right or provision. If any of the provisions (or parts thereof) contained in these Terms and Conditions are determined to be void, invalid or otherwise unenforceable by a court of competent jurisdiction, such determination shall not affect the remaining provisions (or parts thereof) contained herein. No changes to these Terms and Conditions shall be made except by a revised posting on this page or except as otherwise expressly contemplated herein. The parties have required that these Terms and Conditions and all documents relating thereto be drawn up in English.
